Alphabetical Listing Agreement with AttorneyPages.com LISTING AGREEMENT FORM AP 12-04A-Alphabetical
MEMBERSHIP IN GOOD STANDING IN YOUR STATE'S BAR: You, the attorney / law firm (“you”) confirm to the AttorneyPages.com Attorney Directory and its affiliates (the “Company”, “we” or “us”), that you are a Member of the Bar in good standing in the jurisdiction in which you are asking us to post your Listing and that the information in your Listing Application is true and not misleading. You agree to promptly notify us should any information in the Listing Application or posted on our site with respect to your Listing change.
LISTING PRACTICES AND DURATION: We typically process and post an Alphabetical Listing several days after we have verified the attorney’s membership and good standing in the Bar of the state in which his or her office is located.
Alphabetical Listings on AttorneyPages are perpetual in that we intend to leave Alphabetical Listings up indefinitely, so long as the information contained in the listing remains current and the attorney authorizes us to remain in regular contact, but we undertake no duty or obligation to do so.
An Enhanced Bold Alphabetical Listing is one provided to attorneys with Platinum or Premier Listings, or for a fee, or pursuant to special arrangements with firms with which we have relationships, and are typically larger and/or bolder in appearance, and may provide additional information on the “business card” linked from the listing, such as a linkage to the attorney’s website. Enhanced Bold Alphabetical Listings are typically made available for a term of One Year from the date of posting. In the event that the attorney does not timely renew the Enhanced Bold Alphabetical Listing and pay the then applicable fee required for renewal, or for any other reason, AttorneyPages may remove the Enhanced and Bold features of the Listing and reduce the size, appearance and content to that of an ordinary Alphabetical Listing.
We reserve the right to revise the nature of our directory, the format of the pages, the arrangement, number and listing of attorneys, to edit or change topics, practice areas, geographic definitions, scope and/or the number of permissible listings, to limit the number of listings, and to discontinue some or all free listings at any time and without prior notice. We also reserve the right to decline to publish or to remove all or any portion of any Listing at any time. No credit or refunds will be provided in any circumstances with respect to a Free listing, or if a Listing is removed at the request of the attorney, or removed by us for what we deem reasonable cause.
If at any time we determine that any portion of your Listing is not current, your Email no longer forwards to you, you have improperly sought multiple Listings, or that your continued presence on AttorneyPages is not in the best interest of the site, we may delete your Listing, without notice, and without any credit, refund or other liability.
SELF-SERVICE UPDATES OF ALL ALPHABETICAL LISTINGS You will regularly review your Listing(s), once posted, and make any needed changes to maintain them current and accurate. You are responsible for handling all updates to your Listing(s), and to update your Email linkage, using our online forms. We have no obligation to provide any service to you with respect to a free Listing. We may impose a reasonable fee for any effort and labor involved on our part if you request us to make changes on your behalf and we agree to do so. (In contrast, we do free updates for Premier Listings.)
NO RIGHT TO OR RESPONSIBILITY FOR CONTENT: You have no responsibility for any of the content on AttorneyPages.com apart from your own Listing or for any information on the sites of AttorneyPages’ affiliates, including FreeAdvice.com or ExpertPages.com. By listing you are not implying that you are endorsing, recommending or approving any of our content. By accepting your Listing we are not implying that we are endorsing or recommending you or approving any content in your Listing or on any linked website. You may not use any of our content or trademarks without our express written consent.
LIMITATION OF LIABILITY AND CLAIMS: Yours is Free Listing or low cost listing and in consideration, you agree we will have no liability whatsoever to you, your firm or anyone else for any claim related to any Listing or any errors or omissions on our part. Our entire liability for any claims or damages, whether based in contract or negligence, will be limited to the amount of charges you have paid to us, if any, relative to the period of occurrence of the events which are the basis of the claim(s). IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES BE LIABLE FOR ANY LOST PROFITS OR FOR ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT, OR SPECIAL DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THIS AGREEMENT EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. No claim, regardless of form, which in any way arises out of this Listing Agreement may be made, nor action based upon such claim brought, more than 1 year after the basis for the claim is or should have been known by the party desiring to assert it.
WE MAY CONTACT YOU: You are authorizing us publish your Listing. You are also authorizing us to send you, on a weekly or less frequent basis, statistical information about your Listing, about the AttorneyPages, FreeAdvice.com, our other affiliated websites, and/or communications we believe will have information appropriate to a portion of the attorneys listed with us on behalf of firms with whom we have marketing or other relationships. We or our service providers may forward this information to you by Email, facsimile or other means. We also may share information about you and your Listing, or linked from your Listing, or publicly available to us from other sources, with third parties.
GENERAL PROVISIONS: This agreement contains the entire understanding between the parties related to the subject matter hereof and is made in and will be governed by the laws of California without regard to conflicts of law principles. The Superior Court in Marin County, California and the United States District Court for the Northern District of California are the sole venues for any claims or actions against the Company, and you agree to be subject to the jurisdiction of such courts in the event any action is brought by the Company against you. The Company may modify this Agreement on 15 days written or electronic notice to you (using the email address for your Listing), and unless you request that we delete your Listing, the amended agreement shall be binding on you on the 16th day after notice is sent to you. Any other modifications require signed written approval of our CEO, President or a Vice President. Notices may be sent by one party to the other by mail, fax or e-mail to the party's address of record, which in your case is the one you provide us on the Listing Application, or to your latest address in our database.
