LISTING AGREEMENT FORM AP 506-Premier
MEMBERSHIP IN GOOD STANDING IN YOUR STATE'S BAR: You, the attorney / law firm ('you') confirm to the AttorneyPages.com Attorney Directory and its affiliates (the "Company", "we" or "us"), that you are a Member of the Bar in good standing in the jurisdiction(s) in which you are asking us to post your listing. You have reviewed your proposed listing and are confirming that it is accurate. You agree to promptly notify us if any information in your Listing Application, or posted with respect to your listing, changes.
LISTING, PRIORITY AND LIMITS: AttorneyPages lists attorneys / law firms by state, and within each state by city / county and Practice Area. Premier Listings may include the attorney's contact information, a hotlinked email form, a website hotlink, and up to 30 words of text describing the attorney's firm, practice and qualifications. We have historically posted Premier Listings on a first-to-list, first-to-appear basis within their county, but we reserve the right to revise the order in which listings appear at any time. We also reserve the right to limit the number of local attorneys whose listings we carry in any Practice Area in any locale. During the period you maintain your Premier Listing AttorneyPages will also provide you with an Enhanced Bold Alphabetical Listings in your home counties at no charge, and it may thereafter provide you with a Alphabetical Listing. The terms of this agreement shall also apply such additional listings.
YOU HAVE NO RESPONSIBILITY FOR OUR CONTENT You have no responsibility for any of the content on FreeAdvice.com or AttorneyPages.com or any of the Company's affiliated sites apart from your own listing. By listing you are not implying that you are endorsing, recommending or approving any of our content. By accepting your listing we are not implying that we are endorsing or recommending you or approving any content in your listing or linked sites. You may not use any of our content or trademarks without our express written consent.
DURATION OF AGREEMENT: Your listing is for a 12 months period (or such longer term as may have been agreed to). It will automatically renew on a year-to-year basis thereafter at our then current rate. We will notify you prior to renewal. You may cancel your listing at any time.
WE MAY PUBLISH YOUR LISTING AND CONTACT YOU: You are authorizing us publish your listing. You are also authorizing us to send you information about site utilization, statistics related to your listing, AttorneyPages and its affiliated or cooperating websites, by Email or other means during the time you are listed with us, and for 36 months thereafter; AttorneyPages agrees that such communications will average once a week or lessand to share publicly available information which has appeared about you in your Premier Listing or on other sources with third parties.
LIMITATION OF LIABILITY AND CLAIMS: We will have no liability whatsoever to you, your firm or anyone else for any claim related to any listing or any errors or omissions. Our entire liability for any claims or damages, whether based in contract or negligence, will be limited to the amount of charges paid, if any, relative to the period of occurrence of the events which are the basis of the claim(s). In the event that your listing is not available from our end of the Internet at least 99% of the time you have paid for, our sole liability will be to extend the duration of your listing until it has been brought up to 99%. IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES BE LIABLE FOR ANY LOST PROFITS OR FOR ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT, OR SPECIAL DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THIS AGREEMENT EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. No claim, regardless of form, which in any way arises out of this agreement may be made, nor action based upon such claim brought, more than 1 year after the basis for the claim is or should have been known by the party desiring to assert it.
GENERAL PROVISIONS: This agreement is made in and governed by the laws of California. The Superior Court in Marin County, California and the United States District Court for the Northern District of California are the sole venues for any claims or actions against the Company. This agreement contains the entire understanding between the parties, superceding any and all prior proposals, understandings or agreements, oral or written, related to the subject matter hereof. Any modifications require signed written approval of the CEO, President or a Vice President of the Company.
The Company may modify this Agreement on 15 days written or electronic notice to you (using the email address for your listing), and should you not request us to delete your listing, the amended agreement shall be binding on you after on the 16th day after notice is sent to you. Other formal notices may be sent by one party to the other by US Mail or a recognized delivery service (such as Federal Express or UPS) at the party's address of record, which in your case is the one you provide us on the Listing Application, or if you request your listing address be updated, the address you provided to us.
